QUBIC TERMS OF SERVICE (VERSION 1) Last Updated: 2026-05-05 1. Introduction Welcome to Qubic. These Terms of Service (“Terms”) govern your access to and use of the Qubic platform, including our web application, APIs, and integrations (including WhatsApp-based functionality) (collectively, the “Service”). By creating an account, clicking “Accept”, or using the Service, you agree to be bound by these Terms, as well as our Privacy Policy and any applicable Acceptable Use Policy. 2. Nature of the Service Qubic is a software platform that enables businesses to: Create and send quotes and invoices Communicate with customers via messaging platforms (including WhatsApp) Generate and manage transaction records Facilitate payment requests through third-party payment providers Qubic: Is not a payment processor or financial institution Does not act as an agent, broker, or representative of users Is not a party to any transaction between you and your customers Qubic does not guarantee payment, customer response, message delivery, or transaction completion. 3. Eligibility You may only use Qubic if: You are at least 18 years old You are acting on behalf of a registered business or sole proprietor You have the authority to bind that business to these Terms 4. User Responsibilities You agree that you: Are solely responsible for all quotes, invoices, and communications sent via Qubic Will comply with all applicable laws and regulations, including POPIA Will comply with messaging platform policies (including WhatsApp Business policies) Will obtain all necessary prior consent before sending messages to customers Will ensure all customer data is lawfully obtained and accurate You may not use Qubic for: Spam, unsolicited bulk messaging, or harassment Fraudulent, misleading, or unlawful activities Impersonation or misrepresentation Qubic is not liable for suspension, restriction, or banning of your messaging accounts by third-party platforms. 5. Payments and Third-Party Services Qubic may integrate with third-party payment providers. You acknowledge that: All payments are processed by third-party providers Qubic does not process, receive, hold, or control customer funds at any time Qubic has no control over payment authorization, settlement, or reversals Qubic is not responsible for: Payment failures or delays Chargebacks or refunds Fraudulent transactions Disputes between you and your customers All disputes must be resolved directly between you, your customer, and the relevant payment provider. 6. Fees and Billing Qubic may charge subscription or usage-based fees. You agree that: Fees will be communicated prior to billing Subscriptions may renew automatically unless cancelled Qubic may modify pricing with reasonable notice You are responsible for applicable taxes Fees are non-refundable except where required by applicable law. 7. Data Protection and POPIA Compliance Qubic processes personal information in accordance with applicable data protection laws, including POPIA. You are the Responsible Party for customer data Qubic acts as an Operator processing data on your behalf You agree that you: Have lawful grounds to process personal information Will obtain required consents Are responsible for data subject requests Qubic will implement reasonable safeguards and, where required by law, notify users of data breaches. For more information, refer to our Privacy Policy. 8. Intellectual Property All rights, title, and interest in the Qubic platform remain the exclusive property of Qubic. You are granted a limited, non-exclusive, non-transferable license to use the Service. You may not: Copy, modify, or reverse engineer the platform Create derivative works Resell or sublicense the Service without permission Any feedback you provide may be used by Qubic without restriction or compensation. 9. Service Availability The Service is provided on an “as is” and “as available” basis. Qubic does not guarantee uninterrupted or error-free operation. Qubic is not liable for: Downtime or system interruptions Messaging delays or delivery failures Third-party outages (including payment providers or messaging platforms) 10. Limitation of Liability To the maximum extent permitted by South African law: Qubic shall not be liable for: Indirect, incidental, or consequential damages Loss of profits, revenue, or business opportunities Data loss or corruption Any disputes between you and your customers Qubic’s total liability shall not exceed the fees paid by you in the 3 months preceding the claim. Nothing in these Terms limits liability where such limitation is not permitted by law. 11. Indemnification You agree to indemnify and hold Qubic harmless from any claims, damages, or liabilities arising from: Your use of the Service Your transactions with customers Your breach of these Terms Unlawful messaging or communications Violations of POPIA or other applicable laws 12. Account Security You are responsible for: Maintaining the confidentiality of your account credentials All activities that occur under your account You must notify Qubic immediately of any unauthorized access or security breach. 13. Suspension and Termination Qubic may suspend or terminate your access: Immediately, if you breach these Terms If required by law To prevent harm, abuse, or legal risk You may stop using the Service at any time. Qubic may delete or anonymize your data after termination, subject to legal obligations. 14. Force Majeure Qubic is not liable for any failure or delay caused by events beyond its reasonable control, including: Power outages Network failures Third-party service disruptions Acts of nature or government actions 15. Changes to Terms Qubic may update these Terms from time to time. Material changes will be communicated with reasonable notice. Continued use of the Service constitutes acceptance of the updated Terms. 16. Governing Law and Jurisdiction These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of the courts of South Africa. 17. Entire Agreement These Terms constitute the entire agreement between you and Qubic regarding the Service and supersede any prior agreements. 18.
